Due Diligence: Intellative's due diligence process digs deep into the target's financial statements, taxation, assets, liabilities, contingent liabilities, debt, operations, sales and marketing, corporate culture, customers, IT and MIS systems, key employee leadership abilities, retirement plans, supply chain, government and environmental compliance, IP transference and other areas that must known in order to determine compatibility, cost and time to integrate, impact on customers and the target's ultimate value to you once fully integrated.
The Transaction: We work diligently and harmoniously with your legal, and accounting counsel to generate a full understanding of the financial and operational impact of the deal and prepare an in-depth integration plan to minimize your risk and optimize the new asset's value. Once negotiations have yielded a final definitive agreement in full consideration of what was discovered in due diligence, and the integration plan has been developed and financing is in place - only then can you ink your deal with confidence.
Integration:
Probably the single biggest
cause for M&A failure is poor integration and integration
planning. Integration planning begins way before the close
of the deal. In fact you will save large amounts of time and
money if you bring in your integration manager and lead team
members during the
due diligence process. The integration manager will begin
the planning process well before closing day, so on go-live
day there will be no major issues or surprises that will cripple
the process or delay your successful integration. Integration management is truly a
challenging and complex process that requires extraordinary
attention to detail, an oversight of; all integration team
members, functions, progress and timelines and a full
understanding of parallel task dependencies with
superior capital and human resource
management skills.
